Terms

Last updated September 8, 2026

These Terms of Use ("Terms") govern access to and use of the Cellarbook application (the "Service"), operated by Cellarbook ("Cellarbook," "we," or "us"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, where applicable, the winery you represent.

Accounts and eligibility

You sign in to Cellarbook with a Google account and must be invited by a winery to access its data. Each winery controls who it invites and what role each member holds, and winery administrators are responsible for managing team membership and access. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

Description of the Service

Cellarbook helps wineries track harvest intake, vineyard and grower records, cellar production (vessels, lots, transfers, and analyses), bottling, and, optionally, facility floor plans. We may add, change, or remove features over time.

Your data and your responsibility for accuracy

You are solely responsible for the accuracy, legality, and completeness of the data your winery enters into Cellarbook, including harvest weights, vineyard records, lab analyses, and regulatory information. Where Cellarbook supports preparation of regulatory filings, such as manual e-RVC harvest reporting, it assists with preparation and record-keeping only; it does not submit filings to any government system in this version of the Service, and you remain solely responsible for filing accurate and timely reports with the relevant authority. You retain ownership of the data your winery submits ("Your Data") and grant Cellarbook a limited license to host, process, and display Your Data solely to provide and improve the Service.

Acceptable use

You agree not to:

  • Access or attempt to access another winery's data without authorization.
  • Use the Service to store or transmit unlawful, infringing, or fraudulent content.
  • Interfere with or disrupt the Service, including attempting to bypass access controls or rate limits.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
  • Use the Service to build a competing product.

Subscriptions and fees

Cellarbook is currently offered without a paid subscription plan. If we introduce paid plans in the future, additional terms covering fees, billing cycles, renewals, and cancellation will be presented at the time of purchase and, once accepted, will supplement these Terms.

Third-party services

The Service relies on third-party providers, including Google for sign-in and the infrastructure providers described in our Privacy Policy. Your use of those providers is also subject to their own terms.

Intellectual property

Cellarbook and its licensors own all right, title, and interest in the Service, including its software, design, and trademarks, excluding Your Data. These Terms do not transfer any such rights to you beyond the limited right to use the Service as permitted here.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Cellarbook does not warrant that the Service will be uninterrupted or error-free, or that any particular regulatory outcome will result from using it.

Limitation of liability

To the maximum extent permitted by law, Cellarbook will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. Cellarbook's total liability for any claim relating to these Terms or the Service will not exceed the amount you paid Cellarbook for the Service in the twelve months before the claim, or 100 USD if you have not paid any fees.

Termination

You or your winery may stop using the Service at any time. We may suspend or terminate access if we reasonably believe these Terms have been violated, or to protect the security or integrity of the Service. The data retention terms in our Privacy Policy apply after termination.

Governing law

These Terms are governed by the laws of the jurisdiction in which Cellarbook is legally established, without regard to conflict-of-laws principles, except where applicable local law requires otherwise.

Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify winery administrators by email or within the Service. Continued use of the Service after a change takes effect means you accept the revised Terms.
